The transaction involved the sale of 100% of the shares in the LTEC Group, one of the leading providers of building automation and BMS installation services on the Polish market. LTEC has been operating in Poland for nearly 20 years, generating approximately PLN 80 million in revenue, and has delivered installations in prestigious projects such as Varso 2 and the GTL air traffic control tower.
As part of the transaction, we provided comprehensive and multidisciplinary support in the financial, legal, and tax areas. We guided the Seller’s team through all stages of the transaction process, including the preparation of information materials about LTEC, identification and contact with potential investors, negotiation of preliminary offers, support during due diligence, and negotiation of the financial-business, tax, and legal aspects of the transaction, including the preparation of the SPA and other transaction documentation.
The SPIE Group is an international company headquartered in France, specializing in technical services in the fields of energy, mechanical engineering, electrical engineering, and construction. The installation services sector is one of SPIE’s key pillars, covering a wide range of activities related to the design, installation, modernization, and maintenance of technical installations in buildings and industrial facilities. SPIE provides these services for both new developments and modernization of existing facilities.
The completion of the transaction is subject to the approval of the concentration by the President of the Office of Competition and Consumer Protection.
