We are very pleased to announce, that on October 12, 2021 the transaction of sale of 100% of shares in MP Majster-Pol Sp. z o.o. to Termo-Organika Sp. z o.o., an entity belonging to the international SOPREMA group, was closed.
As part of the transaction the Grant Thornton M&A advisory team acted as an exclusive advisor to the owners of MP Majster-Pol, providing comprehensive and multidisciplinary support in the financial, legal and tax area. Our specialists have guided the sellers through all stages of the transaction process, including, among others, preparation of information materials about the company, identification and contact with potential investors, negotiation of initial offers, support in due diligence of the company, transformation of the company’s legal form, preparation of the SPA and other transaction documents as well as negotiation of financial, business and legal aspects of the transaction.

MP MAJSTER-POL is a manufacturer of construction chemicals, specializing in thermal insulation systems and the production of such assortment as plasters, paints and adhesives. During its more than 20-year history, the family business has built a recognizable brand and an established position on the Polish market.
Termo Organika is the largest manufacturer of expanded polystyrene boards in Poland and one of the largest companies in that market segment in the European Union and manufacturer of all components of the external wall insulation system (ETICS), which – in addition to polystyrene foam boards – includes adhesives, primers, plasters and meshes.. Since 2019, it belongs to the SOPREMA Group – a global company specializing in waterproofing and insulation for buildings and civil engineering structures.
Thanks to the transaction, SOPREMA group will strengthen its position on the Polish market. For MP Majster-Pol, the transaction means acquiring an international partner who will support the company in the implementation of its development strategy and enable its further expansion.
