Grant Thornton Advisors’ planned acquisition of CBIZ marks a major step in strengthening the firm’s scale, capabilities and international market position.

Grant Thornton Advisors LLC has announced a agreement to acquire CBIZ, Inc. in an all-cash transaction with an enterprise value of $5 billion. The transaction, supported by New Mountain Capital, is expected to create the fifth-largest provider of professional services, tax and advisory services in the United States.

Under the agreement, CBIZ shareholders will receive $55.00 per share in cash. The deal represents the largest transaction of its kind in more than 25 years and is expected to close in the fourth quarter of 2026, subject to shareholder approval, regulatory approvals and other customary closing conditions.

The combination will significantly expand Grant Thornton’s scale, capabilities and market reach. After closing, the multinational platform is expected to operate across more than 20 countries and territories, generate nearly $7.5 billion in revenue and bring together more than 34,500 professionals across the Americas, Europe, the Middle East and Asia-Pacific.

The transaction is also intended to strengthen AI-enabled services, deepen industry specialization and broaden the firm’s multidisciplinary offering. Following the closing, CBIZ’s Benefits and Insurance Services segment is planned to become a separate stand-alone company backed by New Mountain Capital.
